These Terms of Service ("Terms") govern your access to and use of the StratosGrid platform and website at stratosgrid.com (collectively, the "Service"), operated by [LEGAL_ENTITY_NAME] (sole proprietor registered in Ukraine).

By creating an account or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. Definitions

  • "You" / "Customer" — the individual or entity that registers for and uses the Service.
  • "We" / "StratosGrid" — [LEGAL_ENTITY_NAME], operating as StratosGrid.
  • "User" — any individual authorized by the Customer to access the Service under the Customer's account.
  • "Customer Data" — all data, content, and information uploaded, entered, or transmitted to the Service by the Customer or its Users.

2. Account Registration

  • You must provide accurate, complete, and current information during registration.
  • You are responsible for maintaining the confidentiality of your credentials and for all activity under your account.
  • You must be at least 16 years old to use the Service.
  • One person or entity may not maintain more than one free account.

3. Use of the Service

3.1 Permitted Use

You may use the Service for your lawful internal business purposes in accordance with these Terms and any applicable subscription plan.

3.2 Restrictions

You agree not to:

  • Reverse-engineer, decompile, or disassemble any part of the Service.
  • Use the Service to store or transmit malicious code, infringing content, or illegal material.
  • Exceed documented API rate limits or attempt to circumvent usage restrictions.
  • Share login credentials or allow unauthorized third parties to access your account.
  • Use automated means (bots, scrapers) to extract data from the Service beyond what the API permits.
  • Resell, sublicense, or redistribute the Service without our written consent.

4. Subscription Plans & Billing

4.1 Plans

The Service is offered under various subscription plans as described on our Pricing page. Plan features, limits, and pricing are subject to change with 30 days' notice.

4.2 Payment

  • Fees are charged in advance on a monthly or annual basis, depending on the plan you select.
  • All fees are non-refundable except as expressly stated in these Terms or required by law.
  • We may suspend the Service if payment is overdue for more than 14 days.

4.3 Taxes

All fees are exclusive of applicable taxes. You are responsible for paying any sales tax, VAT, or similar taxes imposed by your jurisdiction.

4.4 Free Trials

We may offer a free trial period. At the end of the trial, your account will be converted to a paid subscription unless you cancel before the trial ends. We will notify you before any charges are made.

5. Customer Data

5.1 Ownership

You retain all rights to your Customer Data. We do not claim ownership of any data you upload to the Service.

5.2 License to Us

You grant us a limited, non-exclusive license to host, process, display, and transmit Customer Data solely to operate and improve the Service.

5.3 Data Portability

You may export your Customer Data at any time through the Service's built-in export tools. Upon account termination, we will make your data available for export for 30 days before deletion.

5.4 Data Protection

We process Customer Data in accordance with our Privacy Policy and applicable data protection laws.

6. Intellectual Property

The Service, including its software, design, branding, documentation, and all related intellectual property, is and remains the exclusive property of StratosGrid. These Terms do not grant you any rights to our trademarks, logos, or brand assets.

7. Third-Party Integrations

The Service may integrate with third-party applications. Your use of any third-party service is governed by that service's own terms and privacy policy. We are not responsible for the availability, accuracy, or practices of third-party services.

8. Service Availability & Support

  • We strive to maintain 99.9% uptime but do not guarantee uninterrupted access.
  • Scheduled maintenance windows will be announced at least 24 hours in advance via email or in-app notification.
  • Support is available via email at [email protected] during business hours.

9. Limitation of Liability

To the maximum extent permitted by law:

  • The Service is provided "as is" and "as available" without warranties of any kind, express or implied.
  • StratosGrid shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, data, or business opportunities.
  • Our total aggregate liability for any claims arising from these Terms shall not exceed the amount you paid to us in the 12 months preceding the claim.

10. Indemnification

You agree to indemnify and hold StratosGrid harmless from any claims, losses, or expenses (including reasonable legal fees) arising from your use of the Service, your violation of these Terms, or your infringement of any third-party rights.

11. Termination

11.1 By You

You may cancel your subscription and delete your account at any time through the account settings. Cancellation takes effect at the end of the current billing period.

11.2 By Us

We may suspend or terminate your access if you breach these Terms, fail to pay fees, or engage in activity that threatens the security or integrity of the Service. We will provide reasonable notice unless immediate action is required to prevent harm.

11.3 Effect of Termination

Upon termination, your right to use the Service ceases immediately. We will retain your data for 30 days to allow export, after which it will be deleted in accordance with our Privacy Policy.

12. Governing Law & Disputes

These Terms are governed by and construed in accordance with the laws of Ukraine. Any disputes arising from these Terms shall be resolved through good-faith negotiation first. If unresolved within 30 days, disputes shall be submitted to the competent courts of Ukraine.

13. Changes to These Terms

We may modify these Terms at any time. We will notify you of material changes at least 30 days before they take effect via email or in-app notification. Your continued use of the Service after the effective date constitutes acceptance of the updated Terms.

14. General Provisions

  • Entire Agreement — these Terms, together with our Privacy Policy, constitute the entire agreement between you and StratosGrid.
  • Severability — if any provision is found unenforceable, the remaining provisions remain in full force.
  • Waiver — failure to enforce any right or provision does not constitute a waiver of that right.
  • Assignment — you may not assign these Terms without our consent. We may assign our rights in connection with a merger or acquisition.
